Welcome to TruDive Europe OOD/TruDive Europe Ltd("trudive.eu", "we", "us", or "our").

These Terms and Conditions ("Terms", "T&C") govern your use of our website https://trudive.eu (the "Website") and the purchase of Trudive brand wetsuits and diving equipment (the "Products").

By accessing the Website or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Website or purchase Products.

3. DEFINITIONS

"Consumer" - An individual purchasing Products for personal use, not for business or resale purposes, as defined under the Bulgarian Consumer Protection Act and the EU Consumer Rights Directive (2011/83/EU).

"Business Customer" or "B2B Customer" - A legal entity, sole trader, or individual purchasing Products for commercial, business, or resale purposes.

"Customer" - Both Consumers and Business Customers collectively.

"Order" - A purchase request submitted through the Website.

"Contract" - The legally binding agreement formed when we accept your Order.

"Stock Item" - A Product available in our warehouse for immediate shipment.

"Made-to-Order Item" - A Product that must be ordered from the manufacturer, including custom-sized or logo-customized wetsuits.

4. ELIGIBILITY AND AGE RESTRICTION

4.1. Age Requirement

You must be at least 18 years old to purchase Products from trudive.eu.

If you are under 18, you may only use the Website and make purchases with the involvement and consent of a parent or legal guardian. By placing an Order as a minor, you confirm that you have obtained such consent.

4.2. Parental Responsibility

Parents or guardians who permit minors to use the Website accept full responsibility for:

All purchases made
Compliance with these Terms
Any liability arising from the minor's use of the Website

4.3. Account Registration

If you create an account on trudive.eu, You are responsible for:

Maintaining the confidentiality of your login credentials
All activities under your account
Notifying us immediately of any unauthorized use

5. PRODUCTS AND AVAILABILITY

5.1. Product Information

We make every effort to ensure that Product descriptions, specifications, images, and prices on the Website are accurate. However:

Colors may vary slightly due to screen settings
Product specifications are subject to change by the manufacturer
Images are for illustration purposes and may not reflect the exact product appearance
We reserve the right to correct errors or update information at any time

5.2. Made-to-Order Products

All TruDive wetsuits are custom-made based on your selected size from our size chart, chosen color, and if needed, your individual measurements. This means your order is crafted specifically for you after payment is confirmed.

Please note that production times may vary slightly depending on order volume and complexity. By placing an order, you acknowledge and accept this estimated delivery timeframe for custom-made products.

5.3. Stock Availability

Made-to-Order Items:

All products on trudive.eu are made-to-order
Products marked as "Made to Order" or "Custom" require manufacturing time
You will be notified of estimated delivery dates upon order placement

5.4. Out of Stock / Production Issues

If a Product becomes unavailable or cannot be manufactured after you place an Order, we will:

Notify you as soon as possible
Offer an alternative Product (if available)
Process a full refund if you do not accept the alternative

6. PRICING

All prices on trudive.eu are displayed in EUR (Euro) and include VAT at the applicable Bulgarian rate for EU customers. For details on payment providers and payment methods, please see our Payment Policy.

7. ORDERS AND CONTRACT FORMATION

7.1. How to Place an Order

Browse Products on trudive.eu
Add desired items to your shopping cart
Proceed to checkout
Provide delivery and billing information
Select payment method
Review your Order summary
Click "Confirm Order" or "Place Order"

7.2. Order Submission = Offer to Purchase

When you click "Confirm Order," you are making a legally binding offer to purchase the Products in your cart at the prices and terms displayed.

7.3. Order Confirmation = Acceptance

We accept your offer when we send you an Order Confirmation Email containing:

Order number
Products ordered (description, quantity, price)
Delivery address
Total amount charged

A contract is formed at the moment we send the Order Confirmation Email.

7.4. Order Cancellation by You (Before Dispatch)

Stock Items:

You may cancel your Order free of charge by emailing [email protected] before the Order is dispatched

Made-to-Order / Custom Items:

Cannot be cancelled once manufacturing has commenced
You will be notified when manufacturing begins

7.5. Order Cancellation by Us

We reserve the right to cancel or refuse any Order if:

The Product is unavailable or discontinued
Pricing or product information was incorrect
Payment cannot be processed or verified
We suspect fraudulent activity
You breach these Terms
Circumstances beyond our control prevent fulfillment (force majeure)

If we cancel your Order, you will receive a full refund within 14 days.

8. CUSTOMER TYPES: CONSUMERS VS. BUSINESS CUSTOMERS

We sell to both Consumers (B2C) and Business Customers (B2B). Different rights apply:

How We Identify Customer Type:

Consumer: Purchase for personal use, delivery to residential address, no VAT number provided
Business Customer: Purchase for business use, company name/VAT number provided, delivery to business address

If you are a Business Customer, certain consumer protections (14-day withdrawal right, simplified returns) do not apply. Contact us at [email protected] to discuss business terms, bulk pricing, or return arrangements.

9. BUSINESS CUSTOMER (B2B) TERMS

9.1. Applicability

These B2B terms apply when:

You provide a company name and/or VAT number during checkout
You indicate the purchase is for business purposes
You request an invoice with business details

9.2. No Right of Withdrawal

The 14-day cooling-off period does not apply to Business Customers under EU Directive 2011/83/EU Article 3(1).

9.6. Bulk Orders and Custom Pricing

9.7. Limitation of Liability (B2B)

For Business Customers, our liability is limited to the value of the Order. We are not liable for:

Loss of profits, revenue, or business opportunities
Indirect or consequential damages
Losses arising from the Business Customer's resale or commercial use

10. TITLE AND OWNERSHIP

Title (legal ownership) of the Products passes to you:

Upon full payment (for prepaid orders)
Upon delivery (whichever is later)

Until title passes, the Products remain our property. If you fail to pay, we may recover the Products.

11. INTELLECTUAL PROPERTY

11.1. Ownership

All content on trudive.eu, including (but not limited to):

Trudive brand name, logo, and trademarks
Website design, layout, and graphics
Product photos, descriptions, and specifications
Text, articles, and multimedia content

...is the intellectual property of Trudive Europe EOOD or our licensors, protected by Bulgarian and international copyright, trademark, and intellectual property laws.

11.2. Your Use

You may:

✅ Print or download extracts for personal reference
✅ Share links to the Website on social media

You may not:

❌ Reproduce, duplicate, copy, or resell any part of the Website or content

11.3. Business Customers - Use of Brand Materials

Permission to use Trudive branding and marketing materials
Product images and descriptions for your listings
Brand guidelines and authorized use terms

Unauthorized commercial use of our intellectual property may result in legal action.

12. USER ACCOUNTS

12.1. Account Registration

Creating an account on trudive.eu is optional but provides benefits:

Faster checkout (saved addresses, payment methods)
Order history and tracking
Manage returns and warranty claims
Exclusive offers and early access to new Products

12.2. Account Security

You are responsible for:

Keeping your password confidential
All activities under your account (whether authorized or not)
Notifying us immediately of any unauthorized access (email [email protected])

We are not liable for losses arising from unauthorized use of your account if you failed to keep your password secure.

12.3. Account Termination

You may delete your account at any time via:

13. PROHIBITED USES

You agree not to use the Website for:

Cancellation of Orders

14. PRODUCT REVIEWS AND USER CONTENT

14.1. Submitting Reviews

You may submit reviews, ratings, photos, or other content ("User Content") on trudive.eu.

By submitting User Content, you:

Grant us a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and modify your User Content for marketing, promotional, and Website purposes
Confirm that your User Content does not violate any third-party rights (copyright, privacy, etc.)
Agree to our Review Guidelines (honest, relevant, non-offensive)

14.2. Moderation

We reserve the right to:

Remove or edit User Content that violates our guidelines or these Terms
Refuse to publish reviews containing offensive, defamatory, or irrelevant content
Remove reviews suspected of being fake, incentivized, or not genuine

We do not endorse User Content and are not responsible for opinions expressed in reviews.

16. FORCE MAJEURE

We are not liable for delays or failure to perform our obligations under these Terms if caused by events beyond our reasonable control, including (but not limited to):

Natural disasters (floods, earthquakes, storms)
War, terrorism, civil unrest
Pandemics or government-imposed restrictions
Strikes, labor disputes
Supplier or manufacturer failures
Transportation disruptions (courier delays, port closures)
Cyberattacks, system failures

If a force majeure event occurs:

We will notify you as soon as reasonably possible
Our obligations are suspended for the duration of the event
If the event lasts more than 30 days, either party may cancel the Order with a full refund

17. DISPUTE RESOLUTION

17.1. Informal Resolution

If you have a complaint or dispute, please contact us first at [email protected]. We will make every effort to resolve the issue informally within 14 days.

17.2. For Consumers - EU Online Dispute Resolution (ODR) Platform

EU Consumers have the right to use the European Commission's Online Dispute Resolution Platform to resolve disputes arising from online purchases:

17.4. Mediation and Arbitration

Consumers: We do not require you to use mediation or arbitration. You always have the right to take a dispute to court.

Business Customers: Disputes may be referred to mediation or arbitration if both parties agree.

17.5. Governing Law and Jurisdiction

For Consumers:

These Terms are governed by Bulgarian law
EU consumer protection laws also apply (including Directives 2011/83/EU, 93/13/EEC)
You may bring legal proceedings in the courts of Bulgaria or the country where you reside (whichever is more favorable to you)

For Business Customers:

These Terms are governed by Bulgarian law
Exclusive jurisdiction: Courts of Pleven, Bulgaria
If Pleven courts lack jurisdiction, disputes are referred to the Sofia City Court, Bulgaria

18. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court, the remaining provisions will continue in full force and effect.

The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

19. WAIVER

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

A waiver is only effective if made in writing and signed by an authorized representative of Trudive Europe EOOD.

20. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein (including our Returns & Shipping Policy, Payment Policy, and Warranty Policy), constitute the entire agreement between you and Trudive Europe EOOD regarding your use of the Website and purchase of Products.

These Terms supersede any prior agreements, understandings, or representations (whether oral or written).

21. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our written consent.

We may assign or transfer our rights and obligations to a third party (e.g., in the event of a business sale, merger, or reorganization). You will be notified of any such transfer.
